SERVICE AGREEMENT

BRAND - SALES - PERSONNEL - CREDIT


This Agreement (hereinafter the Agreement) has been entered into on 120.01.2022 a.


Contracting Parties
STORYBOOK OÜ (reg. 14636888), location: Tähe 129b, 50113, Tartu; mail: info@storybook.ee, represented on the basis of the authorization by Liisi Raudsik (hereinafter the Service Provider)
and
TALLINN, ÕISMÄE TEE 120 KÜ (registrikood 80153634) asukoht: ; epost: oismae120@rambler.ru; represented by the articles of association Svetlana Dergatšova (hereinafter referred to as the Customer),
hereinafter referred to as the "Party" or "the Parties", have agreed as follows:


1. General Terms and Conditions.

1.1 The portal www.scorestorybook.ee administrator and service provider is Storybook OÜ

1.2 The object of the agreement is the information and e-services contained in www.scorestorybook.ee (hereinafter: Storybook) (hereinafter the Service).

1.3 The descriptions and content of the service are fixed in appendix no. 1, which is an integral part of the Agreement.


2. Customer rights and obligations

2.1 Upon concluding the Agreement, the Customer is an administrator user who has the right to add and delete users on behalf of the Customer.

2.2 The Customer is responsible for all users acting on its behalf and ensures that the user acting on behalf of the Customer inevitably complies with the terms of the agreement and legislation and the usage requirements established by the Service Provider.

2.3 The Customer shall be liable for damages arising from the misuse of user IDs and passwords, being aware that third parties may misuse the data and assume legally binding obligations to the Customer, for the performance of which the Customer is responsible.

2.4 The customer undertakes to enter only true data in Storybook. Damage caused by the dissemination of false information is subject to full compensation by the Customer.


3. Rights and obligations of the service provider

3.1 The Service Provider has the right to receive a fee from the Customer for the use of the service in accordance with the Price Offer Annex 1, to which VAT is added and of which the first 3 months have a discounted price - 50%.

3.2 The Service Provider undertakes to provide the Customer with access to the information and information technology solutions in the Storybook in accordance with the services specified in Annex No. 1 to the Agreement.


4. Settlements

4.1 Settlements are made on the basis of invoices submitted to the customer in electronic form on the basis of the Agreement.

4.2 The Client undertakes to pay the invoice submitted by the Storybook within ten (10) working days as of the date of issue of the invoice.

4.3 If the invoice is not paid on time, the Customer undertakes to pay late payment interest of 0.15% of the unpaid amount for each day of delay.


5. Validity, amendment and settlement of disputes

5.1 The Agreement enters into force upon signing of the Agreement by the Parties and is valid for 1 (one) year.

5.2 The Agreement is extended and becomes indefinite if the Parties do not notify the wish to terminate the Agreement at least 1 (one) month before the expiry of the Agreement.

5.3 Clause 5.1 of the Agreement. The Parties may terminate the Agreement that has become indefinite pursuant to the procedure by notifying the other Party at least 2 (two) months in advance.

5.4 Disputes arising from the agreement will be resolved through negotiations, if no agreement is reached, in Tartu County Court.
